CellOs Software gone into hibernation?

sighzz as usual need someone or a group with calibre to led the show.
I would like to see someone new take a stand, for too long the same old faces have been exposed to the inappropriate actions of the Board, one can understand their reluctance to do it again. To be that new champion it will boil down to that person or persons having the integrity and resolve to standup and prepare to be stoned to death for their innocence because they will come for you. When they use a church Pastor to speak false words, and he will. his willingness to sell himself to the task has put a shadow on my heart. You will feel like the world has shut you out. If you can stand firm and hold your resolve the lies and accusations will ultimately be proven wrong, as before a miscarriage of justice. It will take a toll physically, emotionally and of course financially, so go in with your eyes open.
I have faith that there are still people of integrity who can be counted on to stand up for what is right, even if it is unpopular, and to behave with honor even when there is no one around to see.
Who ever decides to take on these vile and deceitful people will have my support.

Is the pastor you were referring to Derek Hong? I heard from some shareholders that he "testified" against CP during 1 of the Henderson meetings. He was even responsible for maligning an insignificant helper of the EGM. His behaviour made him look more like a eunuch than a pastor!

Honestly, there aren't many people like CP around who is brave & has the financial means to stand up against these bullies. We can just dream on.....

What motivated him to get involved, a pastor should always take a neutral position, he should advocate reconciliation, never judge. Janifer obviously had something that encouraged him to speak negatively. She realised that if she could get him to speak publicly it would sway the mostly high number of Christian shareholders he was addressing.

Most pastors' incomes come from donations of the believers like JYT. I won't rule out the fact that there is this fear of losing that income if he didn't do what was instructed. Doesn't this sound like eunuchs who were responsible for the fall of dynasties?

I keep searching for updates about CellOS because quite frankly there are over 2,000 investors that in many cases invested life savings and they deserve answers. JYT has gone to ground since her failed attempt to steal $200 million from CP and co. She has lost face with shareholders and to date has not been seen. JH has gone cold, probably hard at work preparing for his appeal. KP continues to elude any investigation miraculously his profile is hidden on the internet.

So you can imagine my delight when I found this review on Glassdoor posted 1st May 2019. This review spells it out very clearly. I say delight because any news is good news, but at the same time its very sad because it means less and less likely that the company will survive.

Forget about CellOS & move on because it is a lost cause. My dad used to tell me to learn from every failures instead of crying over spilt milk. An intelligent biz man cum CEO showed me the 3 things I had overlooked when I invested in CellOS:

1). Planning
Does the business plan make sense? What are the CEO's assumptions to make this work? Do all these assumptions make sense?

2. Execution
Does the CEO & team have the necessary experience? Is his experience that of a soldier or a general? Do you feel comfortable with his ability to execute the plans?

3. External Environment
How rough are the external factors? Did he underestimate the external factors? This is the component which we have no control over.

All I can see is that CellOS investors were following a herd mentality whereby we invested because some big names invested. We've spent years educating ourselves & accumulating our wealth (sometimes at the expense of our health) so use our time, money & resources wisely!

Did you get the recent news letter. All positive stuff, notice they failed to mention the court cases they lost, and the cost of settlement with the defendants. They will clear the $14 mill loan that was hanging over them with Jason but ultimately it has cost them a lot more than that with legal fees and settlement which is still outstanding.

We should come together as shareholders to consider our course of actions against the board of directors, instead of ranting here.

Because the AGM is well over due, and the board gave false witness when they agreed to share a shareholder EGM and AGM which has passed any reasonable time line, I suggest they are not legal representatives of the shareholders.

It’s worth noting these principles for Boards

1. There is no automatic right for a shareholder of any size to have a nominee on the board.

2. No director is legally able to act in the interests of anyone other than the company itself (duty is to the company as a separate legal entity).

3. The board must develop effective annual selection, induction, evaluation, development and renewal processes to keep itself healthy and sufficiently diverse (from Professor Bob Garrett).

4. Directors can appoint to a casual vacancy if the board is not already at its maximum number.

5. A director who is appointed to a casual vacancy can serve on the board (and be remunerated) until the next general meeting; at the next GM the shareholders will vote the director onto the board.
6. If the shareholders do not vote a nominated director onto the board the board is ill-advised to reappoint them to casual vacancies and try again next year; the shareholders’ vote at the GM should be considered the final say on the matter.

7. A shareholder may nominate a director to the board (or its nomination committee) and ask that the nomination be put to a GM for vote.

8. A board cannot oblige shareholders to vote for the boards recommended candidates.

9. Bond holders and other creditors do not have a vote in director elections.

10. Directors are elected for a set term (often three years) and, at the end of their term must stand for re-election if they wish to remain on the board. Some boards have a maximum number of consecutive terms.

11. Once elected, a director is very hard to remove. There is no right for a board to remove a director; the shareholders in a GM can vote on a removal resolution. Putting removal resolutions to meetings is rare and embarrassing for all concerned.

12. Directors’ remuneration is capped to an aggregate amount which is approved by the shareholders at a general meeting. This amount may not be exceeded even if additional directors are appointed during the time between shareholder meetings.

13. Nominee directors are not considered to be independent. The ASX Governance Principles, and other codes around the world, hold that a majority of the board should be independent.*
