我国的首次公开售股(IPO)市场持续保持活力,近期又有新股有意挂牌,无独有偶都与房地产市场相关。

本地房地产中介公司ERA产业网络(ERA Realty Network)的控股公司APAC Realty计划展开IPO,昨天已把初步售股说明书(preliminary prospectus)提呈给新加坡金融管理局。

根据APAC Realty的说明书,子公司ERA产业网络是本地最大的房地产经纪公司之一,截至今年3月底,共有6223名经纪。

APAC Realty也拥有澳大利亚、柬埔寨、中国、香港、澳门、印度尼西亚、日本、老挝、马来西亚、缅甸、新西兰、韩国、泰国和越南等市场的ERA特许经营权。

它还拥有历史悠久房地产中介品牌Coldwell Banker在新加坡的特许经营权,以及提供房地产管理、估价和培训的子公司产业国际伙伴(Realty International Associates)公司。

说明书显示,APAC Realty去年营收达2亿8775万元,同比增长23.7%;净利为1588万元,同比增长87.2%。

ERA是美国知名房地产中介品牌,成立于1971年,目前在北美、欧洲,亚洲、非洲和中东等地区有2339家独立运作的公司。

其中,新加坡的ERA产业网络成立于1982年。1998年,ERA产业网络母公司和兴企业(Hersing Corporation)上市,后来于2012年除牌。一年后,私募股权公司北星(Northstar)从和兴企业手中收购ERA产业网络,收购价约1亿3000万元。

ERA Realty to make reappearance on SGX as APAC Realty; IPO priced at S$0.66 a share

SINGAPORE - ERA Realty, one of Singapore's largest real estate agencies, is finally making a return to the public markets after delisting in November 2012.

APAC Realty, which operates under the ERA brand, plans to raise net proceeds of S$27.1 million by selling 48.9 million shares at 66 Singapore cents apiece in an initial public offering (IPO).

The IPO will comprise 4.8 million new shares and 44.1 million vendor shares, APAC Realty said in prospectus for a listing on the Singapore Exchange mainboard on Thursday (Sept 21).

ERA was listed on the SGX through its holding company Hersing Realty in 1998. It was delisted in 2013 and sold for about $130 million by former parent Hersing Corp to private equity fund Northstar.

About 39.3 million cornerstone shares have already been taken up by cornerstone investors comprising FIL Investment Management (Hong Kong), Qilin Asset Management, Asdew Acquisitions and Azure Capital.

The IPO comprises a placement tranche of 44.5 million shares and a public tranche of 4.4 million shares.

The public offer will open at 9pm tonight (Sept 21) and close at noon next Tuesday (Sept 26).

Trading is expected to start next Thursday (Sept 28).

Immediately post-IPO, 13.8 per cent of the company's shares will be in public hands, or 16.5 per cent if the over-allotment option of 9.75 million shares is exercised in full.

Asia Pacific Realty Holdings will retain a 74.7 per cent stake in APAC Realty, or 72 per cent if the over-allotment option is fully exercised.

ERA Realty is one of Singapore's largest real estate agencies with 6,223 salespeople and a 21.1 per cent market share.

Net profit in the first quarter was $4 million, doubling from $1.9 million in the same period last year.

Chief executive Jack Chua told The Straits Times that he is confident of going into the results season soon after listing.

DBS is the sole issue manager, bookrunner and underwriter for the IPO.

don't have good opinion of re-listing.
treating investors like fools while they make money delisting re-listing

after taking money from kumgong sinkies with IPO price at S$0.66, 3 yrs later privatise with delisting at S$0.006.

All the SSH huat and arm chio at the stewpidity of sinkies. :s22:

this type of listing than delisting ish so common nowaday, example Tee Land.

Hmm...Risks in the such companies mainly comes from govt actions on the property market ???

this type of listing than delisting ish so common nowaday, example Tee Land.

if I remember correctly, it was listed in 2016 and now wanted to delist.:(

think also just in general a lot more ppl have lost interest in the stock market..

a lot moved to crypto trying to hit it big there

Late liao... Was only interested when it was less than $50 but dunno how to buy back then. :(
