Anyone did LBO today? Did any of you guys do question 5 (separate corporate personality)? Seems like a new question. How would you advise the creditor John?

At first glance, i thought it was a minority shareholder question. But read it again then i know its seperate legal personality.anyway the way to answer it is the same as past year papers. Just need to include john name for the advice.nothing changed. BTW thats question 3 right, question 5 is incorporation of company..dude u dont scare me

Sorry my bad, you're right its question 3. I did 7,2,3,4... no question 5 in there lol. Yea I basically advised him not to pursue veil lifting on the grounds of agency or sham as he would be unlikely to succeed. The most viable option might be s.213 of the IA 1986, pursuing legal action under fraudulent mismanagement before liquidation

They did not specifically give case studies and ask us to explain and all the question is really very general. Like how to solve hold-up problems..why firm have so many patents..advantages and disadvantages of backward compatibility..etc.

Lol i prepared for incorporation of company, seperate legal entity,minority shareholder and termination of unregistered and registered business..only the minority shareholder they linked to insolvency damn it!!! If can get 60+ i happy liao..literally non-stop writing in the exam hall

Very noob question but still want to ask. For essay question, when they say they expect 3 pages answers meaning you guys leave a line blank when you write right? I have seen people with pages of essays with no blank lines in between

Me lor. At most 3/4 page. My handwriting is small too. Then again, I don't have theory heavy mods

Do the sofp first. Then use profit for the year from there to put right at the bottom of IS. Then work is from top to middle, and bottom to middle. After adding tax and dividend paid on top of profit calculated from sofp & the value from top after subtracting all expenses. You will get a difference. Positive value means gain negative value means lost.
