CPU wise i wont go much in details. You can do a quick google search on the CPU itself.
I will go into board details instead.

I will list the similarities first
1. Both uses Aetheros Killer LAN
2. Both uses high end audio CAPS
3. Both have 2 sets of PCIe x16 lanes
4. Both have 2 sets of PCIe x1 lanes with 1 being unable to be used if a GPU is installed on the first slot of PCIe x16 lanes
5. Both have 3 sets of Legacy PCI lanes with 1 being unable to be used if a 2nd GPU is installed on the 2nd slot of PCIe x16 lanes
6. Both supports 4 SATA 3 6gbps and 2 SATA 2 3gbps ports
7. Both delivers 6 power phases with SFC
8. Both have 2 USB 3.0 for the front
9. Both have 2 USB 3.0 for the back
10. Both have all the necessary Video Output display connectors
Now the differences
1. ASRock has 6 fan headers of which 4 is 3 PIN connectors and 2 is PWM 4 PIN Connectors. MSI has only 5. But all of them are 4 PIN connectors.
2. ASRock has an Optical Output for Digital Audio. Where MSI do not have optical Output.
3. ASRock has 4 USB 2.0 at the back, MSI has 6 USB 2.0 at the back.
4. ASrock has 4 USB 2.0 for the front, MSI has only 2 USB 2.0 for the front
5. ASRock has surface mount SATA ports but MSI has 4 SATA ports that are right angle and 2 that are surface mount
6. MSI uses Creative Cinema Audio Boost which has Creative apps that uses software tweaks for sound, such as Stereo Widening, Bass, 3D sound, Mimic a 2/5.1/7.1 surround sound.
7. ASRock and MSI both have a gaming port to use for peripherals such as a gaming mouse. But however MSI took 1 step further by having at least 2 USB port for it and a P/S 2 port.
8. MSI has programs such as VGA Boost. That helps automatically boost your overall graphics performances.
9. ASRock has APP shops. Where MSI just have some basic apps to use.
Conclusion?
They both are trading blows with each other. They have basically all the things that they have to provide to end users. Protections and other EMI shieldings etc. Overall the cost of ASRock B85 Killer is generally slightly on a cheaper side as compared to MSI.
It would most probably boils down to your RMA locations. Such as MSI is from Corbell - AMK techplace, ASRock is from Asview at near Lavender area. So far as what i have seen, the RMA centre itself i would not comment much. But based on experience i would still go for Corbell, just my personal opinion. I have seen how this 2 works and i would say Asview is a disappointment.
Lastly see what you really like and want in the board that you are gonna choose. There's no right and there's no wrong in whichever board you choose. Can never go wrong with all the 4 major brands that you see on the price list today in SLS. Giga, ASUS, MSI and ASRock.
Whether the which brand board dies first. It all depends on luck. It does not mean that paying more = good quality.
