A Celeron is good enough to handle torrenting and play HD videos. The MSI Windbox is also pretty cheap at $399 as DIY alternatives would set you back at least $400+. However, the Windbox comes with Windows 8.1 and if you want Windows 7, it would be better to DIY yourself.

8.1 doesnt affect download speeds right?.. im fine with anything since my goal for this setup is heavy downloading stuffs (probably on for 12hrs or longer each time) while i game on my other pc.

Only thing is whether it can support simultaneous dls.

I do not think that multiple DLs is a very CPU intensive activity. People out there are using Android boxes as DL machines and these Android boxes uses an ARM processor which are much slower than a conventional X86 or X64 processor. You should be fine with a Celeron.

The type of OS used is irrelevant with DL speeds, it is only relevant with the type of DL/torrent programs used.

In fact, I think you should be more concerned about the quality of the Internet connection since you are using it to DL lots of stuff.

May want to consider getting a very large external HDD since the Windbox only has a 500GB HDD.

How many HDDs are you intending to connect? Simultaneous downloads are way more dependent more on disk I/O rather than the CPU horsepower. And these slim profile HTPCs recommended can only fit in 1 2.5" HDD. If you are looking at more HDD bays, you should relegate yourself to regular sized mITX chassis. Otherwise, you should be looking at enough USB ports for external HDD connections.

I also thinking of building 250D m-ITX for multimedia - thought about that but still set back 2k+ given I know what I will be putting inside lol

In this case, the usual Zotac ID18 @ $199 will be ideal.
