How to share files/folders...

with my colleagues at overseas but I need some control features to notify me that someone is using the file and i cannot edit the file. Dropbox can let me share files/folders but I will not know who else is editing the same file. If sharing files on 1 same server, i can know who opened the file and i can only read the file. until he close the file, i will be notified n allowed to edit the file.

You require a DMS such as Alfresco or Sharepoint. If you can live with the limitation of Google Doc, try it too

Limitation like what you can do in Microsoft Office documents but not in Google Doc ? What does Google Drive has to do with Google Doc ? I'm referring to the Google Doc web interface implementation of document, spreadsheet functionalities.

You are encourage to take a look at Google Doc, it's freely available to you from Google. Try using 2 different Google accounts and edit the same document, you will see the sharing model of Google Docs

As for how different it is from Microsoft Office suite, just using Google Doc itself will quickly reveal to you its limitation.
