I need to build a new PC and need some advice on the specs.
My Budget will preferably keep it within $1.5.
The computer will be mainly used for gaming on ultra setting, playing of 1080p videos/movies, photo editing through photoshop, using vmware to run linux, os mavericks. No need graphic card as have powercolor r9-290 and monitors will reuse old one.

Wish to use i7 processors for virtualization and will overclock it in the near future, ssd for os and apps .

Same just that one is Matx the other one is atx. And different branding got their own marketing gimmicks. Like asrock got their hdmi in and rock solid build, while gigabytes got cooler heat sink. But in the end, both board performs the same just see which design/gimmick you like better and which form factor.

Around the same but I think the most Impt in icing is the cooling solution. You can check reviews on their ocing results. But take note that your cpu, if you are lucky can oc more than others

If you are gonna OC, at least get noctua D14/15 or AIO cooler.

650w is more than enough for a single gpu setup with an overclocked cpu. Water cool or air is up to you to decide. The amount of heat produced is the same. Just how it effectively cool the components is another thing.

both are the same... even the latest mobo maybe can last 2 years if you wish to constantly get the latest CPU. But i would say both are good board, you should worry more about gpu driver updates more than your mobo. Cause usually Mobo driver update only the sound cards and stuffs which are not really that impt in terms of performance, whereas GPU can create a performance difference in gaming and in some cases in applications.

To add on, if you want can take the asrock Z87 as its is an atx form can get more PCI slots
