Using google drive to backup (including media if you choose to back them up as well) is the simplest.

If you want to manually transfer the file, do a back up first (including media if you want to retain them).

Copy the whole Whatsapp folder from phone storage to microSD card etc.

Transfer the card to new phone.

Install Whatsapp in new phone but don't run it first.

Open the Whatsapp folder in microSD card and go into the database folder. There may be a few files. Delete all but keep the latest based on date and time it was created.

Once done, copy the Whatsapp folder to your phone storage.

Once done, open Whatapp on your phone and setup as usual.

There should be a prompt saying it detected a backup from google drive etc and ask if you want to restore. Choose yes and the app will do the rest.

Instead of using microSD you can also connect the phones to your PC and transfer the whatsapp folder to PC and then to new phone.

I used to copy the whole WhatsApp folder to the new phone and install over it. It'll ask whether to restore or not.

Now I mostly relying on GDrive.

Easy la - Check your internet connection, Wi-Fi or 3G (in Settings > Wireless and Network). Make sure that a Task Killer app isn't affecting WhatsApp. Ensure you have downloaded the latest updates for WhatsApp. Empty the app cache (Settings > Applications > WhatsApp > Clear Cache).
