Thai group extends F&N takeover offer deadline to Nov 22
ReutersReuters – 40 minutes ago

SINGAPORE, Nov 8 (Reuters) - The Thai group pursuing Singapore conglomerate Fraser and Neave Ltd (F&N) extended the closing date for its takeover bid to Nov. 22, giving it more time to decide whether it should raise its offer price.

Companies linked to Charoen Sirivadhanabhakdi in September made a $7.2 billion bid to buy shares of F&N that they did not already own. The offer, which values the entire Singapore group around S$12.8 billion ($10.4 billion), was originally scheduled to close on Thursday, having already been extended from Oct. 29.

The Thai companies own a 34 percent stake in F&N. It also has a deal to acquire another 2 percent from shareholders if it controls more than 50 percent of F&N.

Charoen may face a rival bid for F&N from Overseas Union Enterprise Ltd (OUE), which said on Wednesday that it will decide by Nov. 15 whether or not it will make a counterbid.

OUE is controlled by Indonesia's Lippo Group.

F&N has a property portfolio worth over S$8 billion as well as soft drinks brands including 100Plus, popular in Singapore and Malaysia.

In September, F&N received shareholder approval to sell its stake in Tiger Beer maker Asia Pacific Breweries Ltd to Heineken NV. (Reporting by Eveline Danubrata and Kevin Lim; Editing by Ryan Woo)

His move for APB is very good, no one can foresee that :s13:

But now ThaiBev extend deadline, shows that they really want F&N, but don't want to offer higher

They are just hoping OUE makes an offer and make a huge profit out of it :D

OUE is only interested in the hospitality division, the drink division they don't even want, though they can break up F&N and sell it to the Red Cola company =:p

I think if OUE don't offer after 15 Nov, F&N price sure drop, maybe Chaeron expects this to happen, so he don't want to waste money up the offer price. Or maybe he just no more money to up the price. Haha.

Even if it drops, also not much ah, since ThaiBev offered 8.88, but definitely those executive directors wouldn't sell their stake at 8.88 :s13:

But even if he increase his offer, i doubt he can offer much more haha, exhausted already :D

That's why I'm speculating that they are hoping OUE to make an offer, APB plus F&N sale, that's a lot of hard cash for them. Probably go and swallow other smaller drinks company like YHS haha

Market would expect that Chiba-don't-know-what-name would sell its 35% stake so my guess is ThaiBEV would go up tomorrow. :)

Anyone knows why F&N gotta pay OUE a break fee of up to 50 million if a competing offer wins the bid? Seems kinda dumb to me. OUE don't win the bid what has that to do with F&N why pay them 50 mil?

Lol. A bid which has absolutely no chance of succeeding. Not even higher than the market price. F&N keep on imposing such stupid limitations on themself. Just wondering why they like to pay break fees to everyone!

OUE must pay consultants to get to that offer they offered, plan the strategy to take over without committing so much money

All these needs money :D

Market prices are higher than the offer because people want a higher offer, technically at 9.08, it is still below their NAV, if OUE buys it, break up and sells everything, they still make a profit

Taking over with 13.1 billion dollar in this kind of environment is not easy :s22:

If OUE can get it cheaper why don't get it cheaper haha
