If you have the OEM version of Win8, no way you can upgrade.

Only Retail or Upgrade version of Win8 allows you to do so.

When you install via DVD or USB media, you have two options

1. Upgrade your PC, in which it will keep all your compatible programs, settings and personal files in your user accounts. Incompatible software will be removed, but it will create a list of removed software on your Desktop folder once you have upgraded.
2. A Clean Install of your PC, in which it will remove all your programs, BUT it will save your user files and place it in a folder called Windows.old, accessible from your C:/ drive later on.

Either way is fine, if you prefer a "fresher" system, go for a clean install, but if you want to save the trouble of reinstalling and moving files, go for an upgrade.
