A Plan for a Stronger AT&T
September 9, 2019

The purpose of today’s letter is to share our thoughts on how AT&T can improve its business and realize a historic increase in value for its shareholders. Elliott believes that through readily achievable initiatives – increased strategic focus, improved operational efficiency, a formal capital allocation framework, and enhanced leadership and oversight – AT&T can achieve $60+ per share of value by the end of 2021. This represents 65%+ upside to today’s share price – a rare opportunity for any company, let alone one of the world’s largest.

The Highest Shareholder Yields Stock List Right Now
September 11th, 2019

What Is Shareholder Yield?

Shareholder yield measure how much money a company is returning to its shareholder through dividend payments, share repurchases, and debt reduction. It is expressed as a percent, and can be interpreted as repurchases, and debt the answer to the following question: ‘How much money will be returned to me through dividend payments, share reduction if I buy $100 of company stock?’

The common sense interpretation of shareholder-yield is the percent of your invested money that is devoted to activities that are quantitatively shareholder-friendly (dividend payments, share repurchases, and debt reductions).

Baker Hughes, a GE company Announces Secondary Offering of 105 Million Shares of Class A Common Stock and Share Repurchase
September 10, 2019

Upon completion of the offering, GE and its affiliates will cease to hold more than 50% of the voting power of all classes of BHGE’s voting stock. Among other things, this will reduce the number of individuals who GE is entitled to designate to BHGE’s board of directors from five to one. GE has informed the Company that it intends for John G. Rice to remain on the BHGE board of directors as its designee and for Jamie S. Miller and James J. Mulva to submit their resignations to the Conflicts Committee of the Company’s board of directors. Lorenzo Simonelli and W. Geoffrey Beattie are expected to continue to serve on the Company’s board of directors but not as GE designees.

AT&T Provides Update to Shareholders
September 11, 2019

John Stephens, chief financial officer of AT&T Inc. (NYSE:T), spoke today at the Bank of America Merrill Lynch Media, Communications & Entertainment conference in Los Angeles. While there, he discussed the company’s plans for the remainder of 2019 and into 2020.

Executing the Strategy

Stephens said the company is focused on executing its strategy to create more value for WarnerMedia’s great content by pairing it with massive direct-to-consumer distribution that is already driving higher penetration for WarnerMedia content like HBO. AT&T is unique in the industry with its capabilities across content, distribution and advertising. The three businesses are working together at an accelerated pace and coordinating on key initiatives like the launch of HBO Max in spring 2020.

New York to ban sale of flavored e-cigarettes by emergency order
SEP 15 2019

KEY POINTS
The ban comes just days after President Trump announced efforts to ban flavored e-cigarettes on the federal level.

New York would become the second in the country behind Michigan to ban the candy flavored products, which are popular with teenagers.

Federal health officials are reviewing 380 possible cases linked to vaping across the country. The mysterious disease has killed at least six people.

The ban would not include menthol and tobacco flavored products, which the governor said can help people to stop using regular cigarettes.

The reason for the change in our name is to better reflect our current and intended principal business operations. On September 16, 2019, we announced the closing of (i) the sale of our Class A common stock in a registered public offering by GE and (ii) the repurchase of our Class B common stock in a privately negotiated transaction by us from GE (together, the “Transactions”). As a result of the Transactions, GE ceased to own more than fifty percent (50%) of the voting power of our outstanding common stock (the “Trigger Date”), consistent with their previously announced intention for a full separation from BHGE in an orderly fashion over the next two to three years. The name change has also been effected in order to comply with applicable provision of the Amended and Restated Trademark License Agreement, between GE and Baker Hughes, a GE company, LLC, dated November 13, 2018, in connection with the occurrence of the Trigger Date.
