'Warning! CPU Over Clock Fail!!!' Error

Hey guys!

Need help from the experts here. Facing this error everytime i boot up. No prior hardware/software changes were made, just suddenly.

Specs:
Intel E7200 (FSB @ 333Mhz x 9.5, OC to 3.17Ghz)
DFI Lanparty DK P35-T2RS
Cooler Master V8 Cooler
OCZ SLI 2 x 1GB DDR2 800Mhz Ram
Western Digital 320gb

Have tried to:
Clear CMOS
Change CMOS Battery
Manually set timings and voltage for memory
Remove/change ram and ram slots

After the error, i just have to get in BIOS, change date/time/fsb/multiplier. No issue whatsoever. Even after shut down. But problem comes back after i turn off the ac supply.

Idle temp for CPU around 40.

PSU or mobo problem. Test with a branch new PSU and might as well scan for bloated capacitors on mobo or inside old PSU.

Appreciate for the input guys! Well the rig has served me well for 5 years, maybe should use this chance to upgrade then :)

check good metal contact with cmos battery. eg if bend up the metal strip abit, so it presses on the battery more...
