Biolidics unlikely to be affected by allegations against Covid-19 test kit distributor, say director

Biolidics unlikely to be affected by allegations against Covid-19 test kit distributor, say directors

https://www.straitstimes.com/busine...ected-by-allegations-against-coronavirus-test

SINGAPORE (THE BUSINESS TIMES) - The Singapore Exchange (SGX) has queried Catalist-listed Biolidics over its appointment of a scandal-hit company as an exclusive distributor for rapid Covid-19 antibody test kits.

But the company's board of directors replied in a filing on Sunday night (April 26) that it does not expect a material impact on its business plans from its agreement with Nasdaq-listed Aytu Bioscience.

"The company will continue to monitor publicly available information on Aytu and will take appropriate steps to mitigate any potential negative financial impact on Biolidics arising from such developments," it said, without going into details on what these steps are.

Biolidics, a cancer diagnostics firm, was asked how it came to pick Denver-based Aytu to distribute its rapid test kits for novel coronavirus antibodies last week.

The SGX also asked what the financial impact could be to Biolidics from ongoing probes into claims that Aytu supplied healthcare providers with coronavirus tests from unapproved Chinese manufacturers and may have breached United States securities laws.

Biolidics said that it was introduced to Aytu by a Denver-based business associate in end-March and was aware of media reporting on the alleged distribution of unauthorised test kits.

Still, it went ahead with its distributorship agreement on April 23 because it believed, after carrying out due diligence such as an assessment of Aytu's financial standing and track record, that the company would be a suitable distributor for its own coronavirus test kits.

Biolidics said that it has not verified the claims or sought legal advice in the United States, but added law firms' probes of Aytu "may be considered 'attorney advertising'" under US rules.

"While the company is not privy to the grounds of investigation of potential claims on behalf of purchasers of Aytu against Aytu, the company believes that it would not be impacted by news on such investigation," said Biolidics.

It noted that it can appoint another distributor if a contractual minimum purchase quantity is not met, or immediately terminate the agreement if terms are breached by Aytu or sub-distributors.

Separately, the board told the Securities Investors Association (Singapore), or Sias, that an executive's remark about commissioning some two million test kits in two months "was referring to the intended build-up in inventory in anticipation of orders for the test kits and not firm orders".

"As such, the company would like to clarify that the statement should not be interpreted as a projection by management," Biolidics added.

"The decision on the order volume by the company in the next two months will be dependent on the sales volume as well as availability of capital and human resources."

To another question from Sias, on how Biolidics adds value to test kits that are made by a Chinese supplier in Nanjing, the company said that "such information is commercially sensitive".

"The disclosure of such information may negatively impact the competitive strength of the company," it asserted, while clarifying that the test kits do not make use of Biolidics' patented technology to extract tumour cells from small amounts of blood.

Biolidics reiterated to shareholders that it "is actively developing the market for the test kits" in Singapore, the Philippines, the European Union and the US, and seeking regulatory approval elsewhere, although it also specified that it has not submitted any application to Indonesia.

Biolidics shares saw rapid price swings last week after the announcement of the agreement with Aytu, which it said will likely contribute positively to its revenue for the year to Dec 31.

The counter last shed $0.045, or 9.09 per cent, to $0.45 last Friday.

Biolidics terminates US sale of COVID-19 test kits

Biolidics terminates US sale of COVID-19 test kits

https://sbr.com.sg/healthcare/news/biolidics-terminates-us-sale-covid-19-test-kits

Biolidics Limited and Aytu Bioscience have mutually agreed to terminate the agreement for the distribution of the COVID-19 Antibody Test Kits in the US with effect from 27 June, according to an announcement.

The company voluntarily withdraws its application to the US Food and Drug Administration (US FDA) for Emergency Use Authorization (EUA) pursuant to the FDA Serology Test Policy. Thus, the current COVID-19 Antibody Test Kits will no longer be available in the US market.

This comes as Biolidics observed increased competition in the US market for serology kits. The company will process a full refund to Aytu for all deposits paid with respect to undelivered orders.

On the other hand, the company will undertake a new joint development project in collaboration with Aytu to develop a new COVID-19 test kit. Biolidics believes that offering a serology test kit with broader use and applications may present a better commercial opportunity for the company compared to the current test kits, which are meant for use only in laboratories or by healthcare workers at the point-of-care.

Both companies are in the process of negotiating the terms of their proposed collaboration on the development project and have signed a non-binding letter of intent (LOI).

Biolidics had assessed that the distribution agreement with Aytu would likely have contributed positively to its revenue for the current financial year. However, revenue from sales of the said test kits was not material and the company's decision to terminate the distribution agreement, and enter into the non-binding LOI, is not expected to have any material impact on the earnings per share and net tangible assets per share of the group for the financial year.

At present, the company intends to continue to distribute, market, and sell its COVID-19 Antibody Test Kits in the markets outside of the US. Biolidics notes that the results from all serology test kits are not to be used for confirmatory testing or as the sole basis for diagnosis. The results will have to be interpreted together with clinical presentation and are to be confirmed with supplementary testing.

Biolidics elaborates on scrapped deal with virus test kit distributor in the US

Biolidics elaborates on scrapped deal with virus test kit distributor in the US

https://www.businesstimes.com.sg/co...eal-with-virus-test-kit-distributor-in-the-us

CATALIST-listed company Biolidics issued a statement on Friday to explain why its deal with Aytu Bioscience to distribute its novel conronavirus antibody test kits in the US has now been scrapped.

Biolidics said, in a statement responding to the Singapore Exchange's queries, that it has refunded all the deposits paid by Aytu for all undelivered orders, after the parties' mutual agreement to terminate the distribution agreement.

Biolidics had announced earlier this week that the decision came about amid increased competition for such kits.

It said Aytu had a binding commitment to purchase an initial 500,000 kits by April 24, and had placed an order and made a deposit for 500,100 kits.

By June 28, Biolidics had delivered 13,000 test kits to Aytu, which was to have been its sole distributor in the US. Biolidics has recorded revenue for these 13,000 kits.

Biolidics is not required to make any compensation, and is keeping mum on the quantum of the refund, citing commercial sensitivity as a reason.

Aytu will return the 13,000 test kits to Biolidics, but no refund to Aytu is required for these returned test kits. Biolidics said it intends to distribute these test kits to other markets outside the US.

The counter closed 0.5 cents up at S$0.32 on Friday, before the responses to SGX were made.

Biolidics ties up with China's LC-Bio to develop cancer-diagnostic solutions

Biolidics ties up with China's LC-Bio to develop cancer-diagnostic solutions

https://www.businesstimes.com.sg/co...lc-bio-to-develop-cancer-diagnostic-solutions

SINGAPORE-BASED cancer-diagnostics company Biolidics said on Wednesday that it has entered a collaboration agreement with Hangzhou-based LC-Bio to develop cancer-diagnostic solutions.

Under the five-year agreement, Biolidics will be LC-Bio’s exclusive partner in China for the development of cancer-diagnostics solutions at LC-Bio's medical laboratory in Hangzhou. Biolidic's proprietary circulating-tumour-cell technology, which separates cancer cells from blood samples, will be used in this collaboration.

Biolidics had announced in February that it was aiming to obtain clinical validation of its cancer diagnostic solution in the second half of 2020. Biolidics will provide all necessary materials and relevant consumables required by the project; LC-Bio will provide the qualified medical laboratories and space required.

Both have agreed to provide any other additional manpower and necessary support for the development and clinical application of the cancer-diagnostic solution.

Once the solution passes the relevant clinical validation test, Biolidics will be responsible for the market promotion and applications, while LC-Bio will oversee the issuance of the test-result reports in its name.

Biolidics will make payment for these reports. It had previously announced that it plans to “launch and progressively market the cancer-diagnostic solutions to hospitals across China”. With increasing incidence and mortality, cancer is the leading cause of death in China and has become a major public health problem, the company noted.

This project is viewed as being complementary to the group’s core business in the development of cell enrichment systems, said Biolidics.

“When combined with other analytical tests, it will have a wide range of applications for cancer diagnosis, prognosis, treatment selection and treatment monitoring,” the company added.

This agreement is not expected to have material impact on the net tangible assets and earnings per share of the group for the financial year ending Dec 31, 2020.

The company also noted that this agreement can be further renewed or terminated with mutual consent.

Biolidics shares closed down 0.5 Singapore cents, or 1.59 per cent to S$0.310 on Wednesday, before this announcement.

SINGAPORE (THE BUSINESS TIMES) - Shares of Catalist-listed Biolidics shot up on Thursday (July 9) after the company announced a partnership with China's LC-Bio to develop cancer-diagnostic solutions.

The company's shares surged to an intra-day high of 42 cents, up 11 cents or 35.5 per cent. As at 2.46pm, shares of Biolidics were trading at 40.5 cents, up 30.6 per cent or 9.5 cents, with 51.6 million shares changing hands.

Biolidics will provide all necessary materials and relevant consumables required by the project, while LC-Bio will provide the qualified medical laboratories and space required.

At end-June 2020, Biolidics shares sank 22 per cent after the firm announced that it mutually agreed with Aytu BioScience to terminate a distribution agreement for its Covid-19 antibody test kits in the US, amid increased competition for such kits. t said instead it would develop a new test kit with broader use outside of laboratory or clinical settings.

Biolidics had announced in February that it was aiming to obtain clinical validation of its cancer diagnostic solution in the second half of 2020. Biolidics signs 5-year deal for use of A*Star technology to develop new Covid-19 test kits

Biolidics signs 5-year deal for use of A*Star technology to develop new Covid-19 test kits

https://www.straitstimes.com/busine...icence-with-astar-arm-eyes-development-of-new

SINGAPORE (THE BUSINESS TIMES) - Biolidics on July 9 entered into a five-year licence agreement with Accelerate Technologies, the commercialisation arm of the Agency for Science, Technology and Research (A*Star), for the use of the agency's technology for the detection of Covid-19 antibodies.

The Catalist-listed company said in a bourse filing on Tuesday night (July 14) that it aims to develop new serology tests which incorporate the technology to detect Covid-19 viral spike/Angiotensin Converting Enzyme 2 (ACE2) blocking antibodies.

Under the agreement, Accelerate Technologies has granted Biolidics non-exclusive worldwide rights to use the technology for diagnostic use for the five-year term to further develop the technology, and the right to market serology tests which incorporate the technology.

ACE2 is a cellular receptor for coronaviruses such as Sars and the novel coronavirus. Spike proteins from these coronaviruses recognise and bind to ACE2 on the surface of target cells, allowing the virus to enter these cells and infect the person.

Most commercially available serology tests against Covid-19, including Biolidics' own Covid-19 antibody test kit launched on March 30, detects IgG and IgM antibodies, which are a group of antibodies produced by the body in response to a novel coronavirus infection.

As such, these serology tests are currently used only as an assistive tool in the detection of Covid-19, and are not able to detect specific antibodies which bind to the novel coronavirus and interfere with its ability to infect target cells, Biolidics said.

It added that serology tests incorporating A*Star's technology allow for the detection of such Covid-19 viral spike/ACE2 blocking antibodies that may interfere with the ability of the virus to infect target cells, and could provide an indication of protective immunity against Covid-19.

Biolidics added that there is currently little information on the level of antibodies sufficient to confer protective immunity to an individual, and how long such protective immunity against Covid-19 may last in an individual,.

It also cautioned shareholders and potential investors that policies in relation to the diagnosis and/or detection of the Covid-19 virus and/or antibodies in various jurisdictions could change in response to developments in the Covid-19 situation, which was "evolving rapidly".

"There is no certainty that the group will be able to successfully commercialise the serology tests which incorporate the technology, if developed," it added.

It said the agreement is not expected to have a material impact on its earnings per share and the net asset value of the group for the current financial year ending Dec 31, 2020.

Biolidics shares jumped 29.3 per cent on Monday before the company called for a trading halt during the midday break. It lifted the halt before the market opened on Wednesday. The counter was trading at $0.52 before the halt.
