Thank to you, I manage to see a news slipped by my radar, or that I forgot about the news. TRGP Acquisition of ATLS and NGLS Acquisition of APL.
Targa To Acquire Atlas Energy And Atlas Pipeline For $7.7 Billion; Transaction Excludes All Non-Midstream Assets - MarketWatch

Gonna study this piece of infor as I'm vested in APL. ATLS looks good though, had a huge drop recently, why do you say you are late? Is it due to the acquisiton news?
yea due to the acquisition news...I too read that article, but it just confused me..when the merger closes, i understand that each ATLS share will get $9.12. The other two bits (0.1809 shares of TRGP, and one share of the stub) I don't quite understand. :(

Dear all, just to inform any MCD shareholder, I received a letter from SCB with regards to a tender offer from TRC Capital Corp offering to purchase my shares at $86.80USD per share. I dunno if it's a joke but it's horribly under market price, and why would anyone accept this offer? MCD afaik has not hit $86 since 2012...

Just be careful when you receive letters that look like any other dividends letter from scb. Not SCB's fault, just be alert. I nearly took the cash offer.

For Rig not only high yield also for its dividend..... as per yesterday they will be giving 0.75USD per shares, no less or cut off like SDRL. Not sure for the 1st Qtr but for last Qtr we are safe!

I read that Fitch has downgraded its outlook to negative which might prompt them to suspend dividend. So they are still giving dividend afterall?

Sorry, I can't answer your query as I'm a bit busy, but I'm sure you can find your answer inside Seeking Alpha, for my case, I'm rounding up my shares to get more of NGLS, after that maybe will sell, and hold some for dividends. As per my understanding it's accretive acquisition.

Thanks for the alert. Seems strange. I better be careful and read in details next time. So far the letters about corporate action, i just chucked aside because my default is always cash which requires no action. Better read next time.

Edit:Afaik, 0.1809 shares of TRGP for every share of ATLS you owned is just that. If you owned less than say 6 shares of ATLS, you won't get even 1 share of TRGP.

From BusinessDictionary.com - Online Business Dictionary
Shares selling at drastically reduced market price because either (1) their issuing firm has negative net worth after taking on a huge debt (due to a leveraged buyout or recapitalization), or (2) has paid an unusually large dividend. Stub stock is highly speculative, but also has extraordinary potential for gain if the issuer prospers.

Last friday they have already announce the dividend of 0.75USD/share for 2014Q4. However for 2015 Q1 ....... i guess will not be as much.

Now that I think about it, no wonder APL went up even after ex-div. Anyway, market is down, just nice for me to accumulate and round up my shares.

This is no fault of SCB nor MCD, they are just doing their jobs in informing you.

The party concerned, TRC Capital Corp, is using the mini tender offer, in which they can buy directly from an investor, provided it is less than 5% of the issued shares (ref: Mini-tender offer - Wikipedia, the free encyclopedia). According to the Wikipedia page, companies such as AMD and Ford were subjected to this type of offer.

And MCD had already advised their investors to reject this offer.

Not vested in MCD.

Apple plans debut of Swiss franc bond sale - MarketWatch

Apple Inc. is seeking to add to its recent run of blockbuster bond deals with a debut sale in Swiss francs, according to a person familiar with the offering.

Goldman Sachs and Credit Suisse have been hired to manage the sale, which could come as soon as Tuesday, the person said.

Soaring demand for Swiss franc-denominated debt has sent government bond yields into negative territory, meaning investors are now willing to pay to lend Switzerland cash for as long as 10 years. Last month, the Swiss central bank removed the franc’s euro peg, prompting the currency to rise sharply.

Those negative yields means Apple AAPL, -0.02% will also be able to borrow cheaply as corporate bonds are typically linked to the price of government debt.

The maturity of Apple’s proposed deal hasn’t been decided but a short-dated bond could be sold with a negative yield—a first for a corporate bond sold in Europe. The person familiar with the deal said Apple will likely consider a 10-year or 15-year bond, meaning the yield would probably be in the low double-digit area.

the world is filled with madness

apple is gonna issue new swiss bonds with "negative" yield

so investors are paying apple for those bonds, OMG

I wanna puke

so much hot money, so little assets to buy? lol

The practice is frequently associated with a company called TRC Capital, a private firm founded by a Canadian securities lawyer.[5]

MacKenzie Capital Management, LP, based in Moraga, California, also conducts hundreds of mini-tender offers and SEC registered tender offers each year, but for illiquid limited partnerships, real estate investment trusts, and other securities, ones not traded on a national exchange.

The boards of target companies such as Adobe Systems, MetLife, AMD, Ford, and Kimberly-Clark have attempted to counter mini-tenders by issuing recommendations to reject such offers.[6][7][8][5] Brian Lawler of The Motley Fool recommends that investors avoid mini-tender offers.[4]

its like trying to bait investors into make mistakes one, just have to be careful

Which is why it is important for passive investors with individual counters to be aware of the pricing and corporate situations as well.

The basic law of economics has already gone topsy turvy ever since the GFC.

ya.. the world might become more like japan, QE until economy haywire liao, everything siao siao

Germany 10 year bonds paying only 0.32% interest~
Japan 10 Year 0.35%

really no meaning to buy any bonds since the returns are similar to hiding the $$ under the mattress

in the end investors, to keep up with inflation, are forced to buy equities or stay poor

bubble bubble, I smell trouble

Exactly, that's why the post. I actually did accept the cash thinking it was just the regular dividends since I'm overly diversified with so many dividends coming in every other day. Lucky I read the letter and realise my mistake, called in and rectify.

LINE has shoot past $14!
CVX shoot past $110!
Just noticed PNNT is finally turning upwards. Small position just to collect dividends.
ETP has dropped into my range, too bad I'm force to buy APL, cannot increase more exposure.
Waiting for MKL to drop big.

the name is mentioned in the second page of the letter, just that I'm lazy to take picture and upload. It's TRC Capital. I think it's unfair that they can just sent letter and buy over at cheaper than market rate to unsuspecting shareholders who might mistook as regular dividend option and unwittingly sold their shares. If I can just suka suka send a letter to all other shareholder offering to buy at below market rate, I can immediately become millionaire just by offering $1 to buy over the millions of shareholders of JNJ, BRK.B. Surely someone would fall for it.

Again, I reiterate it's not blaming SCB or MCD, it's blaming the system of how this is run.
