Waterproof yes... wait till u start to use and everyday you remove that cover to plug in your usb and earphone then tell me is it still a good phone or not.

Really isn't that big of a deal. Been doing this on my defy for nearly 2 years now... it's well worth it for being able to wash your phone and not worry about rain/dust/dirt/sweat. Frankly, now it's hard to imagine having a phone that isn't waterproof.

Besides, exposed ports are ugly.
